Establishing and operating a corporation properly involves more than form annual minutes. Missteps can lead to the loss of the liability shields enjoyed by corporations, leaving directors and shareholders exposed to liability. As outside general counsel to corporations ranging from start-ups to large enterprises, we serve as trusted advisors for corporate matters, including shareholder and board actions, stock sales, buy-sell and shareholder agreements, corporate governance, employment matters, succession planning, and contentious removals or forced buy-outs. Our close relationships with corporate clients creates a constructive dynamic where clients are unafraid to pick up the phone at the first sign of trouble, heading off issues before they become expensive problems.

When a loved one passes away, the legal requirements of administering the trust or probate estate can be overwhelming and fraught with liability if done poorly. We work with executors and trustees to manage the requirements of proper legal notice, careful asset collection and inventory, creditor management, and ultimately distribution to beneficiaries. Being an executor or trustee is time-consuming and not often easily understood. We work closely with our administrator clients to help carry the burden and guide you through the process.

Estate planning is one of the most foundational, yet sometimes overlooked, aspects of a long-term plan to achieve a family’s wealth transfer and asset protection goals. We work closely with clients to draft wills, trusts, advanced healthcare directives, powers of attorney, and other more sophisticated planning tools that fit each unique family dynamic, tax situation, and succession strategy. This is done in connection with family businesses to create generational succession plans, utilizing legal entities as appropriate. While death and taxes may be the only certain things in life, your family will not face them with uncertainty when you have a plan.

Those that do good should do it well. Nonprofit organizations form the backbone of many societal goods; however, the rules and regulations can be complicated. In many cases, organizations are so focused on their mission that they don’t know certain rules exist at all. We partner with organizations of all sizes to build a solid foundation of operational compliance so that you can focus on the good you do. Our nonprofit practice includes startup 501(c)(3) or other tax-exempt organizations, as well as regulatory compliance matters with the IRS, Franchise Tax Board, or Attorney General.
